These Terms and Conditions (“Terms”) outline the agreement between Manolo Remiddi (“I,” “me,” or “my”) and users of AI Services and Solutions, Strategy and Business Consultancy, Content Creation, and Mixing and Mastering Services provided via my website or through direct consultations (“Services”).   • Blockchain Consultancy and Token Economy Design: Expertise in blockchain technology applications.

Please note that certain services may rely on or involve third-party platforms and tools. While I select these third parties carefully, their availability and functionality may impact service delivery. Detailed action plans for service continuity in scenarios such as third-party service discontinuation are available upon request.

Project Engagements

  • Proposals/Statements of Work: Detailed outlines of deliverables, timelines, and fees for larger projects.
  • Client Responsibilities: Provision of necessary data, system access, and other cooperation.
  • Change Requests: Changes to project scope may necessitate adjustments to proposals and fees.
  • Service Continuity: Plans to address disruptions due to third-party service failures, with details on alternative solutions or providers.

Intellectual Property

  • Pre-existing IP: Remains my property.
  • Project-Specific IP: Generally belongs to you, the client, except for general techniques and non-specific code which I retain the right to use.
  • Open Source Components: Governed by applicable open-source licenses.

Fees and Payment

  • Billing Models: Hourly, project-based, subscription, or retainer.
  • Adjustments for Third-Party Changes: Notifications of adjustments to fees or service terms in response to changes in third-party provider policies or costs.
  • Payment Terms: Due upon receipt for most services, with subscriptions billed in advance.
  • Expenses: Billed separately as agreed.

AI Chatbot Subscriptions

  • Tiered Plans: Different levels based on features and support.
  • Impact of Third-Party Licensing: Subscription terms may be affected by changes in third-party licensing.

Confidentiality

Mutual obligation to keep business plans, trade secrets, etc., confidential, except as required by law or agreed expressly.

Warranties and Disclaimers

  • Professional Standards: Services provided with reasonable skill and care.
  • No Guarantee of Results: AI outcomes can be unpredictable.
  • Third-Party Software Disclaimer: No warranties for uninterrupted availability or performance of third-party software.

Limitation of Liability

My total liability for any damages from the Services will not exceed the fees you’ve paid. I am not liable for indirect, special, or consequential damages.

Termination

Either party may terminate with reasonable written notice. You are responsible for fees for services rendered up to the termination date.

Governing Law

These Terms, and any disputes arising from them, shall be governed by and construed in accordance with the laws of England and Wales. Disputes arising shall be subject to the exclusive jurisdiction of the courts of London.

Dispute Resolution

We encourage good faith attempts to resolve disputes amicably through direct communication. If unresolved, we recommend mediation, and if mediation fails, arbitration in London under the Arbitration Act 1996. Only if these efforts fail, may the dispute be brought to court.

Changes to These Terms

I may update these Terms, and will notify you via email or website notification. Continued use after such changes indicates acceptance.
